2. Draft Constitution of Bitton and Oldland Cycling Club
This is the draft Constitution of Bitton and Oldland Cycling Club. The club’s constitution will be reviewed agreed at our first Annual General Meeting (AGM). The AGM will be held when the membership reaches a number that enables quorate.
We are an inclusive community of riders that see the act of cycling as a collective and joyous experience, prioritising friendship, mental wellbeing, and accessibility.
- The group will be called: Bitton and Oldland Cycling Club
- The purposes of the group are to promote cycling in the Bitton and Oldland area.
- As a campaigning group, we actively support efforts to improve safe cycling infrastructure in our area
- The group will be administered by a Committee consisting of at least three individuals acting as:
- Chair
- Secretary
- Treasurer
- Other roles performed by the Committee will include:
- Membership Secretary
- Welfare Officer
- Publicity Officer
- Rides Secretary
- Membership of the group is open to all
- Members will pay an annual subscription, which will be determined at its AGM.
Membership may be refused or removed for conduct or character likely to bring the group into disrepute. Appeal against refusal or removal may be made to an appointed panel consisting of group members, however the committee’s decision on such matters will be final.
- The committee will hold meetings bi-annually
- The committee will hold an Annual General Meeting every year, which will be open to all members of the group.
- All members of the group may be permitted to submit a motion to the AGM in writing at least 21 days in advance.
- At the AGM, members will elect a new Committee.
- Any member may stand for election to the Committee.
- Committee members may perform more than one role, with the exception of Chair, Secretary and Treasurer who must be separate individuals. It is not advisable for the Welfare Officer to also be the Secretary.
- All fully paid-up members of the group may vote at any General Meeting. In the event of a tie, the Chair of the group will have the casting vote. Members must attend in person to vote and may not appoint a proxy.
- The quorum for all general meetings is 4 members present or 25% of the total membership, whichever is greater.
- Special General Meetings of the group may be held if a written request is received by the Secretary at least 21 days in advance.
- The Committee will appoint an Honorary Auditor to preside over the accounts, which will be produced by the Treasurer for scrutiny by the Committee at least once a year. The Honorary Auditor may not be a member of the Committee.
- The property and funds of the group cannot be used for the direct or indirect private benefit of members.
- The Committee may wind up the group if it is deemed appropriate due to lack of sufficient members to be viable and/or there are insufficient funds to run the group effectively.
- On dissolution, all assets of the group will be divided among its members/donated to charity (delete as required) decided by the Committee.
